Welcome to le·balme™. These Terms of Service (“Terms”) govern your use of lebalme.com, including any content, functionality, and services offered on or through the site (the “Site”), and your purchase of products from us.

The Site is operated by GHC Ventures LLC (“le·balme,” “we,” “us,” or “our”), a Delaware limited liability company with its principal place of business in New York, New York.

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. ELIGIBILITY

You must be at least 18 years old, or the age of majority in your jurisdiction, to purchase products from the Site. By placing an order, you represent that you meet this requirement.

2. ACCOUNT REGISTRATION

You may be asked to create an account to place an order or save preferences. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3. PRODUCTS & ORDERS

We make reasonable efforts to display our products and ingredients accurately, but we do not warrant that product descriptions, images, colors, or other content on the Site are error-free. We reserve the right to correct errors, update information, and change or discontinue products at any time without notice.

All orders are subject to acceptance and availability. We reserve the right to limit quantities, refuse or cancel any order, and verify information before shipping. If we cancel your order, we will refund any charges in full.

Prices are in U.S. dollars and are subject to change without notice. Applicable taxes and shipping charges are calculated at checkout.

4. PAYMENT

We accept the payment methods displayed at checkout. By submitting payment information, you represent that you are authorized to use the payment method and authorize us to charge the total amount of your order.

5. SHIPPING & RETURNS

Shipping is governed by our Shipping Policy. Returns and refunds are governed by our Returns & Refund Policy. Both are incorporated by reference into these Terms.

6. PRODUCT USE & NO MEDICAL ADVICE

le·balme™ products are cosmetics intended for topical use on healthy skin as directed on the packaging. They are not drugs and are not intended to diagnose, treat, cure, or prevent any disease or medical condition. Content on the Site, including any statements from Dr. Adarsh Mudgil or other contributors, is provided for general educational purposes only and does not constitute medical advice. Always consult a qualified healthcare provider regarding any condition, including before using any new product on skin that is broken, infected, or otherwise compromised.

7. INTELLECTUAL PROPERTY

All content on the Site - including text, graphics, photography, logos, product names, packaging, product design, and the le·balme™ wordmark and logo - is owned by GHC Ventures LLC or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

le·balme™ is a trademark of GHC Ventures LLC (U.S. Trademark Application pending). You may not reproduce, modify, distribute, publicly display, or create derivative works from any Site content without our prior written permission, except for personal, non-commercial use.

8. USER CONTENT

If you submit content to us - including product reviews, photos, social posts tagging us, or messages - you grant GHC Ventures LLC a worldwide, royalty-free, perpetual, non-exclusive license to use, reproduce, and display that content in connection with the le·balme™ brand, including in marketing materials, social media, and on the Site, with attribution where appropriate. You represent that you own or have the right to grant this license.

9. PROHIBITED CONDUCT

You agree not to use the Site to:

•       Violate any law or regulation

•       Infringe the intellectual property rights of any party

•       Upload malicious code or attempt to disrupt Site operations

•       Harvest or scrape data from the Site

•       Impersonate any person or misrepresent your affiliation

•       Engage in any conduct that restricts or inhibits any other user from using the Site

10. DISCLAIMERS

THE SITE AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure.

11. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, GHC VENTURES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR ANY PRODUCT. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above may not apply to you in full.

12. INDEMNIFICATION

You agree to indemnify and hold harmless GHC Ventures LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to your breach of these Terms, your misuse of the Site, or your violation of any law or third-party right.

13. GOVERNING LAW & DISPUTE RESOLUTION

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of the Site will be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts.

14. CHANGES TO THESE TERMS

We may update these Terms from time to time. Material changes will be posted on this page with a revised “Last updated” date. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.

15. SEVERABILITY

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
